inovia Terms of Use

These Terms of Use form part of the contract (“Contract”) between RWS and the Client (“you”, “your”) for the provision of services relating to the validation and foreign-filing of patents (“Platform Services”) and govern your access to and use of both RWS’s web-based portal at inovia.com (the “Platform”) and the Platform Services. 

In these Terms of Use, “RWS” means the entity defined as such in the Contract.  If not separately defined in these Terms of Use, other capitalized words have the meanings given to them in your Contract. 

Your Licence to use the Platform 

RWS grants you a non-exclusive, non-transferable licence to access and use the Platform (the “Licence”) for the sole purpose of using the Platform Services. Without limitation, you undertake and agree with RWS that you shall not (and shall not permit any employee, sub-contractor or agent to) (i) use the Platform for any illegal purpose, and you agree to use it in accordance with relevant laws in any applicable jurisdiction (including, without limitation, your local law); (ii) upload or transmit through the Platform any computer viruses, macro viruses, Trojan horses, worms, or anything designed to interfere with or disrupt the normal operating procedures of a computer; (iii) upload or transmit through the Platform any material which is defamatory, offensive or of an obscene or menacing character, or that may cause annoyance, inconvenience or needless anxiety; (iv) use the Platform in a way that may cause the Platform to be interrupted, damaged or rendered less efficient, or may impair the effectiveness or functionality of the Platform; (v) use the Platform in any manner which violates or infringes the rights or any person, firm or company (including but not limited to, rights of intellectual property, rights of confidentiality or rights of privacy); or (vi) interfere with or diminish (whether by act or omission) RWS’s right, title and interest (or that of our licensors) in the Platform or the Platform Services. 

You may not do any of the following while accessing or using the Platform: (i) except to the extent reasonably necessary to use and benefit from the Platform Services, reproduce, modify, create derivative works, distribute, sell, transfer, publicly display, publicly perform or transmit any part of the Platform (ii) access, tamper with, or use non-public areas of the Platform, RWS’s computer systems, or the technical delivery systems of RWS’s providers; (iii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (iv) access or search or attempt to access or search the Platform by any means (automated or otherwise) other than through the currently available, published interfaces that are provided by RWS via the Platform; (v) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Platform to send altered, deceptive or false source-identifying information; or (vi) interfere with, or disrupt (or attempt to do so) the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Platform, or by acting in such a manner as to interfere with or create an undue burden on the Platform.  

Our Rights 

All right, title, and interest in and to the Platform and the Platform Services are and will remain the exclusive property of RWS or its licensors. The Platform and the Platform Services are protected by copyright, trademark, and other laws of various countries. Nothing in these Terms of Use gives you a right to use the RWS name or any of RWS’s patents, trademarks, logos, domain names, and other distinctive brand features. 

You agree to indemnify and hold harmless RWS and its agents against all claims, liabilities, damages, losses, costs and expenses, including legal fees, suffered by us and arising out of (i) any breach by you of these Terms of Use or (ii) any other liabilities arising out of your use of the Platform or the Platform Services, or the use by any other person accessing the Platform using your computer equipment or internet access account or (iii) your infringement of the intellectual property rights or other proprietary rights of any third party. 

In the event of your actual or suspected breach of this Section, we reserve the right to restrict or prevent your access to the Platform Services and/or the Platform. 

Links The Platform may contain links to third-party websites or resources. You acknowledge and agree that we are not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by RWS of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. 

Your Account & Password 

You agree to provide accurate and complete information (“Registration Data”) when you establish an account (“Account”) with RWS.  You agree to update your Registration Data to keep it accurate and complete. You agree that RWS may store and use the Registration Data you provide for use in maintaining and billing fees to your Account. 

You agree not to reveal your Account information to anyone else. You are solely responsible for maintaining the confidentiality and security of your Account and for all activities that occur on or through your Account, and you agree to immediately notify RWS of any security breach of your Account. RWS shall not be responsible for any losses arising out of the unauthorized use of your Account. 

Privacy 

This Privacy Policy discloses the privacy practices for the www.inovia.com Website (“Site”) operated by RWS. This privacy policy explains how we collect, use and disclose your personal information. Through your use of the Services, you consent to the collection and use of any information you provide, including the transfer of this information to other countries (including countries outside the European Economic Area (EEA)) for storage, processing and use by RWS. 

We are not responsible for the content or privacy practices of any web site not operated by RWS, to which the Site links or that links to the Site.

  1. Information Collection
Information you provide to us We collect information from you in several different ways on this Site in order to provide an efficient and customized experience. We collect information you provide directly to us. For example, we collect information when you use our Site, register for an inovia.com account, call us on the phone, sign up to receive our emails, register for a webinar or RWS-sponsored event, download a whitepaper, communicate with us via third party social media sites, request customer support, apply for a job or otherwise communicate with us. The personal information we collect includes but is not limited to your name, company, billing address(es), phone number and email address. By creating an inovia.com account, registering for an RWS webinar, signing up for an RWS-sponsored event or downloading a whitepaper on the Site, you are opting in to receive our email newsletter and other email communications. We always permit you to unsubscribe or opt out of future emails (an unsubscribe link is included in every email, or see the opt out section below for more details). Information we collect automatically
  1. Cookies and Tracking Technology. Like many websites, the Site uses cookies and other technologies such as web beacons to collect information about you when you interact with our Site and emails, including information about your browsing behaviour. Most internet browsers are initially set to accept cookies, but you can set your browser to refuse cookies from websites or remove cookies from your hard drive. We may combine this information with other information we collect about you and use it for various purposes, such as improving our Site and your online experience, understanding which areas and features of our Site are popular, counting visits, understanding marketing campaign effectiveness, personalizing the communications we send to you, determining whether an email has been opened and links within the email have been clicked, and for other internal business purposes.
  2. Log Files. We collect information about your use of the Site, including the type of browser you use, access times, pages viewed, your IP address (which may indicate the location of your computer on the Internet) and the referring link through which you accessed the Site. We use this information to learn about user behaviour on the Site and to gather demographic information about our user base as a whole, which we may use in our marketing communications.
Information we collect from other sources We may also obtain information about you from other sources and combine the information we collect about you. For example, we collect information from the World Intellectual Property Organization (WIPO) database to verify and update patent record information and mailing addresses.
  1. Information Use

The personal information we collect allows us to keep you informed of patent law news and updates, RWS’s latest product and service enhancements, and upcoming events. It also helps us to improve our services, content, advertising, and customer communications. If you have created an inovia.com account, we may need to provide you with certain communications such as service announcements and administrative messages. These communications are considered part of the Services and your inovia Account, which you may not be able to opt out from receiving. 

We do not sell, rent, trade, license or otherwise disclose your specific personal information or financial information to anyone other than to affiliates under RWS’s control or member of the RWS Group of companies, except that:

  • To process payments, we must provide your credit card number to financial-services corporations such as credit-card processors and issuers. When we submit your credit card number for authorization, we use state-of-the-art data encryption to protect your information.
  • We may disclose such information in response to requests from law enforcement officials, or if we are otherwise required to disclose such information by law. We may also disclose personal information where disclosure is necessary to protect our legal rights, enforce rights under a Contract or other agreements, or to protect ourselves or others. For example, we may share information with third parties for the purposes of fraud prevention or credit risk reduction.
  • We may share non-personal information (such as the number of daily visitors to a particular web page, or the size of an order placed on a certain date) with third parties such as advertising partners. This information does not directly personally identify you or any user.
  1. Age
We do not knowingly collect any personal information from children under the age of 13. We do not sell products for purchase by children.
  1. Data Security
The Platform uses Secure Sockets Layer (SSL) encryption on all web pages where personal information is collected. To use the Services you must use an SSL-enabled browser such as Safari, Chrome, Firefox or Internet Explorer. Doing so protects the confidentiality of your personal information during transmission over the Internet.
  1. Opt Out/Corrections
Upon your request, we will (a) correct or update your personal information; (b) stop sending emails to your email address (with the exception of communications considered part of the Services and your inovia Account); and/or (c) disable your Account. You can make these requests by visiting our email preferences page or by emailing marketingteam@inovia.com.
  1. Updates to this Policy

RWS may update its Privacy Policy from time to time. If we change or update this Privacy Policy, we will post changes and updates on the Site so that you will always be aware of how we collect, use and disclose your personal information. Changes to these Terms of Use We may revise these Terms of Use from time to time; the most current version will always be at www.inovia.com/terms-service.  If the revision, in our sole discretion, is material we will notify you via an email to the email address associated with your Account. By continuing to access or use the Platform Services after those revisions become effective, you agree to be bound by the revised Terms of Use.
