BUSINESS CO-OPERATION SCHEDULE

1. BUSINESS PLAN

1.1 On a quarterly basis both parties will define the mutual targets and business plan for the next quarter. Partner will provide SDL with a documented forecast and sales plan. Extra line needed here

2. SCOPE 

Partner agrees to: 

2.1 Promote, solicit and obtain orders for and otherwise market and fairly demonstrate the capabilities of the SDL Software. 

2.2 Participate with industry analyst to perform reviews of the SDL Software. 

2.3 Include the SDL Software in relevant trade shows, conferences and other marketing events in which Partner wishes to participate in. 

2.4 Represent SDL Software capabilities correctly and in line with the terms of this Agreement and SDL public documentation. 

2.5 Deal promptly and diligently with (and inform SDL about) Customer or End User complaint related to the SDL Software. 

3. MARKETING ACTIVITIES 

The parties agree to participate in joint market activities, which may include the activities listed below and such other activities as the parties may agree in writing from time to time during the Term of the Agreement: 

3.1 Jointly develop and mutually agree and inform each other of marketing and promotional collateral about the relationship contemplated by this Agreement (i.e. joint value proposition). 

3.2 Jointly develop a marketing and sales activity plan acceptable to both parties. 

3.3 Jointly arrange marketing programs, events and press releases with the other party’s marketing department. 

3.4 Jointly produce joint customer references, profiles and “case studies” highlighting mutual successes for common customers, subject to customer consent. 

3.5 Participate in trade shows, webinars, small or large group marketing events, conferences and other promotional events to be agreed. 

3.6 Create whitepapers, testimonials and shared customer success stories (as agreed and as appropriate for the target market). 

3.7 Conduct joint sales calls and joint presentations. 

4. PARTNER BENEFITS 

Subject to Partner’s compliance with the terms of this Agreement, the following benefits shall be granted to Partner during the Term (“Partner Benefits”): 

4.1 Partner may receive invitations to attend SDL’s major sales, and marketing events. 

4.2 SDL may from time to time and as appropriate provide Partner with customer leads. 

4.3 Where appropriate SDL may provide Partner with pre-sales and sales assistance. 

4.4 SDL will regularly update Partner regarding on-going product and reseller program developments. 

4.5 Partner will have access to SDL’s Partner portal.

4.6 If and when available, SDL shall make available to Partner training materials regarding the SDL Software at cost. Such materials will be licenced/made available at the then current SDL rates.

4.7 SDL will make available to Partner a Partner manager to serve as primary communication and facilitating channel. 

4.8 Partner shall have the right to use the brochures and other promotional literature describing the SDL Software that SDL may provide to Partner for the purpose of performing its obligations hereunder. 

5. EVALUATION 

On a regular basis, SDL and Partner will together:

5.1 Share the feedback received from customers regarding each party’s performance and/or products.

5.2 Evaluate the status of the relationship and matters where a party would like the other party to improve upon.
